Small Business Growth Formula Mentoring Program Agreement

This Small Business Growth Formula Mentoring Program Agreement (“Agreement”) is between: 

FOR ALL GOOD AND VALUABLE CONSIDERATIONS, the Coach and the Client agree to the following: 

1.  Coaching Services Provided.  During your participation in the Small Business Growth Formula Mentoring Program(“Program”), Spring Board will provide the following business coaching services “Coaching Services”: 1) Facilitate, Lead, and Instruct Monthly Group Mentoring Meetings, 2) Conduct Monthly Deep-dive Instructional Webinars, 3) Provide Quarterly Business-Building Workshops, 4) Arrange for individual accountability partners, 5) Conduct six (6) Private, one-to-one coaching sessions with you, and 7) Offer unlimited e-mail business coaching.

2. Payment/Fees.  In exchange for Coach Services, you will pay Spring Board 12 monthly payments of $999.00.  To reserve your seat in the program, a nonrefundable deposit of five hundred dollars ($500) is required. Your deposit will be credited against your first month’s payment.  Monthly Payments will be made each month automatically by credit card or ACH draft on or about the first of each month.  No other form of payment is accepted.  Credit Card payments will incur a three percent pass-through transaction fee (3%).  There is no fee for ACH payments.  Additionally, you authorize “Spring Board” to make these recurring charges or drafts each month without your additional authorization.

3. Special Pricing.  Under this agreement, you are entitled to a reduced payment of Seven Hundred Fifty Dollars ($750) for the first three months of this program.  The remaining monthly payments will return to the normal amount of Nine Hundred Ninety-Nine Dollars ($999).   For the discount, you agree to provide a testimonial after 90 days for the coach and the program and introduce me to at least one business owner that can use my coaching services.  

4. Late Fees.  If we are unable to receive payment or you are unable to pay, you will be charged a late fee of $50.  We will invoice you your balance due, which is due upon receipt.  Invoices unpaid after 30 days will be charged a 1.5% per month penalty or as limited by law.  You agree to pay for any reasonable costs we incur (including attorneys’ fees) necessary to collect payment from you.

5. Annual Term.  The term of this agreement begins on the date of your signature and lasts for 12 months consecutively, from  June 2, 2023, through May 2, 2024. 

6. Termination.  There are no cancellations or refunds.  If this agreement is terminated for any reason other than if Spring Board has materially breached this agreement and not cured that breach within 30 days, you will remain obligated to make all 12 monthly payments for the term of this agreement.

7. Program Commitment.  You acknowledge that this Program is intended to be a serious commitment and that, particularly due to this Program’s nature as a group coaching session, other business owners in the Program and Spring Board are dependent upon your participation for the Program to meet its intended purpose.  You agree to participate in the Program to the best of your ability and to attend all scheduled coaching sessions.  Failure to fulfill this commitment will be a material breach of this agreement.  In such event, Spring Board shall have the right to terminate your admission to the Program without eliminating your obligation to pay any outstanding balances of the total fees for the entirety of the Program. 

8. Intellectual Property.  All materials and information provided by Spring Board as part of Coaching Services are the intellectual property of Spring Board.  This Program, and the business strategies taught within, are considered trade secret information.  Spring Board developed this information with labor and experience, and it has real economic value to Spring Board as a business coach.  Therefore, it is essential to Spring Board, and valuable, to keep this information confidential, which Spring Board does.  You promise to keep these materials and information confidential and agree not to reproduce, distribute, or otherwise make available to others any materials or trade secret information given to you by Spring Board.  You are also prohibited from audio or video recording live or virtual coaching sessions.

9. Confidentiality.  Group coaching sessions often involve business owners disclosing sensitive personal and business information.  There could be severe damages if, for instance, this information was disclosed to that business owner’s competitor.  Therefore:
Any information shared by other Program participants or individuals of Spring Board during group sessions should always be considered “Confidential Information.”  Confidential information excludes information a) publicly known, b) disclosed to you by non-confidential means, or c) independently developed by you.  You agree not to disclose any other Program participant’s Confidential Information to anyone unless required by law.  Further, you agree to indemnify or legally defend Spring Board for any claims brought by others arising from your unauthorized disclosure of other’s Confidential information.

10. No Guarantee of Success.  Spring Board makes no claims or guarantees that the Program or Coaching Services within will result in success or desired outcomes for your business, not because what will be shared doesn't work, but because Spring Board doesn't control you.  As a result, you acknowledge that you are fully in control of and responsible for the business decisions you decide to implement in your business.  You waive and release any claims you may have against Spring Board arising out of the information or advice given to you by Spring Board

11.  Promotional Material: By accepting the terms of this agreement and affirmatively seeking the benefits of the Program(s) offered by Spring Board, you acknowledge and agree that Spring Board may at any time reproduce and/or disseminate any testimonial(s) describing or otherwise referencing, either directly or indirectly, your experience participating in the Program (s), including any specific results experienced by you throughout the Program.  Including any written statements you may publish to social media accounts and online forums, as well as any comments and/or images captured or otherwise recorded throughout your attendance at any event(s) related to such Program (s).  

12. Other.  The laws of Kentucky govern this agreement.  The venue for any claim arising from this agreement shall be Jefferson County, Kentucky.  No part of this agreement may be assigned without written authorization from the other party.  This document and all attachments are the entire agreement on this subject and supersede any prior understandings.  This agreement can only be modified in writing and signed by both parties.  Any unenforceable provisions of this agreement are to be, if possible, modified to the limited extent necessary to permit enforcement or, if not, severed with the remainder left in full effect.  Either party’s failure or delay in exercising a right under this agreement does not constitute a waiver of that right.

I (we) understand that this authorization will remain in full force and effect during the term of this agreement. I agree that no prior notification will be provided for the monthly payments scheduled.  In addition, SalesTilt, LLC D/B/A Springboard Business Coaching, at its discretion, may terminate the client’s ability to participate in the Electronic Funds Transfer system should inconsistencies arise in the successful completion of the monthly ACH from client to coach.  Should this happen, the coach will require the client to pay by credit card, with accompanying transactional fees.

Further, I agree to keep a current and valid credit/debit card on file with The Coach for the duration of this Agreement.  If any payment remains outstanding beyond 7 days of its due date, the Coach reserves the right to cease rendering services until payment is received.
